WEBSITE DESIGN AND DEVELOPMENT AGREEMENT
This Website Design and Development Agreement is entered into on 07/25/2024,
by and between:
A company registered under Social Impact Media (the "Developer"),
AND
A company registered under the Notably Gifted Arts Academy (the "Client").
(collectively referred to as the "Parties").
SCOPE OF WORK
Project Description:
The Client agrees to engage the Developer to design and develop a website with the following features and functionality:
To create a good functioning 5-9 page website that customers can easily navigate through.
Design and Development:
The Developer will use its best efforts to design and develop the Website in accordance with the specifications provided by the Client.
Timeline:
The Parties agree to the following project timeline:
Website complete in 2-3weeks
Draft 1- 07/29/2024
Draft 2- 08/02/2024
Draft 3- 08/06/2024
Website Launch- 08/09/2024
Website can be completed faster if there isn't much to change after reviewing drafts and client thinks site is ready. If the client wouldn't like anymore drafts and is satisfied with website outcome then website will be launched 48hours after client gives permission.
Payment:
Full payment for website design and development is due after agreement is signed. Hosting Fee will be due 3 days prior to website launch date.
Maintenance and Support:
The developer will provide ongoing support throughout the duration that the website is live. The developer will provide 3 free maintenance request, any maintenance request thereafter will result in a small investment fee.
Client's Responsibilities:
The Client agrees to provide timely feedback, content, and materials necessary for the development of the Website.
Change Requests:
Any changes to the scope of work must be documented and may result in additional fees and timeline adjustments. This does not include change request that goes on within the 3week development process.
Intellectual Property:
Upon full payment, the Client will own the rights to the Website and its content, except for any third-party materials or tools.
TERMS AND CONDITIONS
Warranties:
The Developer represents and warrants that the Website will be free from defects and errors in accordance with industry standards. Any defects or errors will result in a 24-48hr fixation period in which all errors will be handled.
Termination:
Either Party may terminate this Agreement with written notice. In case of termination, no refunds will be issued to either parties.
